Terms of Service

1. Acceptance of Terms

By accessing and using Profit-Scanner (the "Service"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to these Terms, do not use the Service.

The Service is operated by PROFIT SCANNER S.R.L., VAT RO54258972, registered in Hunedoara, Romania.

These Terms constitute a legally binding agreement between you and Profit-Scanner. By using the Service, you confirm that you are at least 16 years of age or have the consent of a parent or legal guardian.

If you use the Service on behalf of an organization, you accept these Terms on behalf of that organization and warrant that you have the authority to bind the organization to these Terms.

2. Description of Service

Profit-Scanner is a software-as-a-service (SaaS) platform that provides profitability analysis tools for Amazon sellers. The Service includes:

  • Amazon product analysis using real-time market data feeds across 11 marketplaces (IT, DE, FR, ES, UK, US, CA, JP, IN, MX, BR)
  • Profit margin calculations, FBA fees (including PAN-EU, EFN, CEP estimates), VAT, and taxes
  • Sales rank analysis, price trends, and monthly sales data
  • Chrome Extension for instant analysis on Amazon product pages
  • Multi-marketplace comparison and cross-market analysis
  • Quantity mismatch detection and brand intellectual property analysis
  • Export of results in Excel/CSV formats
  • Two-factor authentication (2FA/TOTP) and Google OAuth sign-in
  • Referral system to invite other users
  • Additional features based on the selected subscription plan

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Registration and Account

3.1 Account Creation

To use the Service, you must create an account by providing accurate, complete, and up-to-date information. You are responsible for maintaining the security of your account and password.

3.2 Account Responsibility

  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized use of your account
  • You may not share your account with third parties
  • You must keep your contact information up to date

3.3 Email Verification

You must verify your email address to complete registration. If you do not verify your account within a reasonable period, we may suspend or cancel your account.

4. Use of Service

4.1 Permitted Use

You agree to use the Service only for lawful purposes and in accordance with these Terms and all applicable laws and regulations.

4.2 Restrictions

You may not:

  • Use the Service for illegal or unauthorized purposes
  • Violate or attempt to violate the security of the Service
  • Interfere with or disrupt the operation of the Service
  • Access or attempt to access other users' accounts
  • Use robots, spiders, or other automated means to access the Service without authorization
  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service commercially
  • Modify, adapt, translate, or create derivative works based on the Service
  • Remove, obscure, or alter any copyright, trademark, or other proprietary notices
  • Upload or transmit viruses, malware, or other harmful code
  • Use the Service to infringe upon third-party intellectual property rights

4.3 Chrome Extension

The Profit-Scanner Chrome Extension is subject to the same Terms of Service. The extension:

  • Requires an active Profit-Scanner account to function
  • Accesses Amazon product pages only to provide profitability analysis
  • Does not collect browsing data outside of Amazon pages
  • Stores user preferences locally in the browser

5. Subscriptions and Payments

5.1 Subscription Plans

The Service is offered on a subscription basis with various plans available. Features and limits vary based on the selected plan. Plan details are available on the pricing page.

5.2 Billing

  • Subscriptions are billed in advance on a monthly or annual basis
  • Payments are processed through Stripe, our payment processor
  • You agree to provide accurate and up-to-date payment information
  • You are responsible for all charges on your payment method

5.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.

5.4 Cancellation

You may cancel your subscription at any time from your profile page. Cancellation will take effect at the end of the current billing period. No refunds are provided for already-paid periods.

5.5 Price Changes

We reserve the right to modify subscription prices at any time. Price changes do not apply to existing subscriptions until the next renewal.

5.6 Refunds

Refunds are handled on a case-by-case basis. Generally:

  • No refunds are provided for already-used periods
  • Refunds may be considered for prolonged service interruptions or billing errors
  • Refund requests must be submitted within 30 days of billing

6. Data and Content

6.1 Data Ownership

You retain ownership of all data you upload to the Service. You grant Profit-Scanner a limited, non-exclusive, revocable license to use, process, and store your data solely to provide the Service.

6.2 Third-Party Data

The Service uses data from aggregated market data providers and other third-party sources. This data is provided "as is" and we do not guarantee its accuracy, completeness, or timeliness. Product data may vary based on marketplace and time of request.

6.3 Backup and Retention

Although we perform regular backups, we do not guarantee that your data will always be available or recoverable. You are responsible for maintaining backup copies of your important data.

7. Intellectual Property

7.1 Service Ownership

The Service, including all software, design, text, graphics, images, logos, icons, and other materials, is owned by Profit-Scanner or its licensors and is protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service solely for your legitimate business purposes, in accordance with these Terms.

7.3 Restrictions

You may not copy, modify, distribute, sell, or rent any part of the Service or included software, nor may you use or copy the design or user interface.

8. Limitation of Liability

8.1 Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROFIT-SCANNER SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions or data loss
  • Errors or inaccuracies in data provided by the Service

8.3 Maximum Limit

Profit-Scanner's total liability to you for any claim relating to these Terms or the Service shall not exceed the amount you paid to Profit-Scanner in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Profit-Scanner, its affiliates, officers, employees, and agents from and against any claim, liability, damage, loss, cost, or expense (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your infringement of third-party rights

10. Termination

10.1 Termination by You

You may terminate your account at any time from your profile page. Account deletion will occur after a 7-day grace period to allow you to cancel the request.

10.2 Termination by Us

We reserve the right to suspend or terminate your account and access to the Service immediately, without notice, for any reason, including but not limited to:

  • Violation of these Terms
  • Fraudulent or abusive use of the Service
  • Non-payment of due charges
  • Request by legal authorities

10.3 Effects of Termination

Upon termination:

  • Your right to access the Service will cease immediately
  • We may delete or retain your data in accordance with our Privacy Policy
  • No refunds will be provided for unused periods

11. Privacy and Data Protection

The processing of your personal data is governed by our Privacy Policy, which forms an integral part of these Terms. By using the Service, you also accept our Privacy Policy.

We are committed to protecting your personal data in accordance with the General Data Protection Regulation (GDPR) and other applicable privacy laws.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by:

  • Posting the new Terms on this page
  • Updating the "Effective date"
  • Sending a notification via email to the address associated with your account (for material changes)

Your continued use of the Service after the changes take effect constitutes acceptance of the new Terms. If you do not agree to the changes, you must stop using the Service.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the European Union and, in particular, Romanian law, without regard to its conflict of law principles.

For any dispute arising from or related to these Terms or the Service, the parties agree to first attempt to resolve the dispute through good faith negotiation.

If the dispute cannot be resolved through negotiation, the parties agree to submit the dispute to the exclusive jurisdiction of the competent courts of Hunedoara, Romania.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Profit-Scanner regarding the Service.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

The failure to exercise any right under these Terms does not constitute a waiver of that right.

14.4 Assignment

You may not assign or transfer these Terms or your rights or obligations hereunder without our prior written consent. We may assign these Terms without your consent.

14.5 Force Majeure

We will not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to natural disasters, wars, terrorism, riots, acts of government, or public utility interruptions.
